By creating an account or using CollabNote (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and CollabNote (“we,” “us”). Contact: districtzone0x9@gmail.com.
CollabNote is a collaborative markdown note-taking application. It allows you to create, edit, organize, and share notes in real time. The Service is offered on a freemium basis: core features are available for free; advanced features require a paid Pro subscription.
Free features include: unlimited notes, folders, tags, real-time collaboration, note sharing, per-note encryption, diagrams, and calendar view.
Pro features ($10/month) include: AI Writing Assistant, AI Workspace Assistant, AI Note Titles, Voice Notes, Voice Dictation, Voice Transcription, Similar Notes, and Note Publishing.
You must be at least 13 years old to use the Service. You are responsible for keeping your login credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at districtzone0x9@gmail.com if you believe your account has been compromised.
We reserve the right to terminate accounts that violate these Terms or that have been inactive for more than 24 months, with 30 days’ notice.
Pro subscriptions are billed monthly at $10.00 USD. Payment is processed by Stripe. By subscribing you authorize Stripe to charge your payment method on a recurring monthly basis until you cancel.
You may cancel your Pro subscription at any time from within the app or by emailing us. Cancellation takes effect at the end of the current billing period. You retain Pro access until then. We do not prorate partial months.
We offer a full refund within 7 days of your first payment if you are unsatisfied with the Service. After 7 days, payments are non-refundable. To request a refund, email districtzone0x9@gmail.com with your account email and the reason.
We may change the subscription price. We will give you at least 30 days’ notice before a price increase takes effect. Continued use after the notice period constitutes acceptance of the new price.
If a payment fails, we will retry up to three times over 7 days. If payment cannot be collected, your account will be downgraded to the free tier. Your notes are never deleted due to a failed payment.
You retain all ownership rights to the notes and content you create. By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your content solely to provide the Service to you — including syncing to collaborators you invite and, for Pro users, sending content to our AI provider (Groq) to generate AI responses.
We do not claim ownership of your content and do not use it for advertising or to train AI models.

We may suspend or terminate accounts that violate these rules without a refund.
When you share a note or workspace with another user, you grant that user access according to the permissions you set (view-only or edit). You are responsible for the access you grant. We are not responsible for what collaborators do with content you share with them.
Published notes are publicly accessible to anyone with the link. Do not publish notes containing sensitive personal information.
AI features (Pro plan) are powered by Groq. Outputs are generated by machine learning models and may be inaccurate, incomplete, or inappropriate. Do not rely on AI-generated content for legal, medical, financial, or safety-critical decisions. We are not liable for the content generated by AI features.
By using AI features you agree to Groq’s Terms of Use. We reserve the right to disable or modify AI features at any time.
Per-note encryption is an optional feature. When you encrypt a note, the encryption key is derived in your browser using your chosen password. We cannot recover encrypted notes if you forget the password. Keep your encryption passwords safe — loss of the password means permanent loss of the encrypted content.
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, upgrades, or emergency patches that temporarily limit access. We are not liable for any losses caused by downtime.
You may delete your account at any time. We may suspend or terminate your access if you breach these Terms. Upon termination, your notes will be deleted within 30 days. Export your notes before closing your account — we cannot recover deleted accounts.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that your data will never be lost.
To the fullest extent permitted by law, our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) $10.00 USD.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, even if we have been advised of the possibility of such damages.
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.
These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction in that jurisdiction.
We may update these Terms. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
